These Terms of Use govern your access to and use of Interzoid's websites, accounts, APIs, applications, data quality tools, enrichment services, integrations, trial keys, documentation, and related services.
These Terms of Use ("Terms") are a legal agreement between Interzoid Inc. ("Interzoid," "we," "our," or "us") and you or the entity you represent ("you" or "your"). By creating an Interzoid account, receiving a trial API key, accessing trial services, using free services, using the Interzoid website, or accessing any Interzoid product, API, application, integration, documentation, or related service, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not create an account, access the Services, or use a trial key.
These Terms govern your access to and use of Interzoid's websites, accounts, APIs, applications, data quality tools, data matching services, enrichment services, documentation, sample applications, integrations, trial keys, free services, evaluation services, and related services.
When you create an Interzoid account, receive a trial key, access trial services, use free services, or otherwise use the Services without a paid subscription, your use is governed by these Terms.
If you purchase a paid subscription, credits package, or other paid offering from Interzoid, your purchase and payment obligations will also be governed by Interzoid's Terms of Purchase or another applicable written purchase agreement. If there is a conflict between these Terms and the Terms of Purchase, the Terms of Purchase will control only with respect to payment, credits, billing, renewal, overage, cancellation, refunds, taxes, and other purchase-specific matters. These Terms will continue to govern your access to and use of the Services.
"Services" means Interzoid websites, accounts, APIs, software applications, browser-based tools, batch processing tools, interactive applications, data matching services, data quality services, enrichment services, validation services, standardization services, reports, documentation, sample code, integrations, infrastructure, algorithms, interfaces, and related technology made available by Interzoid.
"Customer Data" means data, files, records, text, names, addresses, company information, email addresses, phone numbers, IP addresses, domain names, or other information that you submit, upload, transmit, or otherwise provide to the Services.
"Service Outputs" means results generated, returned, or made available by the Services, including API responses, similarity keys, standardized values, validation results, enrichment results, match reports, scores, classifications, metadata, and other output.
"Interzoid Technology" means the Services, software, APIs, algorithms, matching logic, similarity key methods, scoring methods, models, workflows, user interfaces, documentation, designs, know-how, infrastructure, and other technology owned, operated, or provided by Interzoid.
Interzoid may provide trial keys, free API credits, evaluation access, free tools, sample applications, beta features, or other unpaid access to the Services. Trial and free access is provided for evaluation, testing, development, demonstration, and limited business use, subject to these Terms.
Interzoid may modify, limit, suspend, or discontinue trial or free access at any time, with or without notice. Trial keys, free credits, evaluation access, and unpaid services have no cash value, are not refundable, are not transferable, and may be subject to usage limits, rate limits, expiration, or other restrictions.
Interzoid is under no obligation to provide support, uptime commitments, service credits, refunds, or continued availability for trial, free, beta, preview, demonstration, or evaluation services.
You agree to provide accurate and current account information and to keep that information up to date. You are responsible for maintaining the confidentiality and security of your account credentials, passwords, license keys, API keys, tokens, and other access credentials.
You may not publish, share, embed in public repositories, expose in client-side code, or otherwise make credentials available to unauthorized parties. You are responsible for all activity conducted through your account or credentials, whether or not authorized by you, except to the extent caused solely by Interzoid's breach of these Terms.
You agree to notify Interzoid promptly if you become aware of unauthorized access to your account, API keys, credentials, or systems connected to the Services.
Subject to these Terms, Interzoid grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful business, development, testing, evaluation, data quality, data matching, data enrichment, integration, reporting, and internal operational purposes.
You may use Service Outputs in your internal systems, applications, databases, workflows, reports, and business processes, provided that your use complies with these Terms, applicable law, and any applicable purchase, subscription, or usage terms.
As between you and Interzoid, you retain ownership of Customer Data. You grant Interzoid a limited right to process Customer Data as necessary to provide, secure, operate, support, monitor, improve, and troubleshoot the Services; enforce applicable usage limits and terms; and as otherwise described in Interzoid's Privacy Policy or an applicable written agreement.
You represent and warrant that you have all rights, permissions, and legal bases necessary to submit Customer Data to the Services and to permit Interzoid to process it as contemplated by these Terms.
You are responsible for the accuracy, quality, legality, and appropriateness of Customer Data, including whether Customer Data contains personal information, regulated data, confidential information, or data subject to special legal restrictions.
The Services may generate, include, summarize, classify, standardize, enrich, score, match, or otherwise process information using Interzoid Technology, third-party data sources, artificial intelligence systems, machine learning systems, external APIs, public data, licensed data, Customer Data, and other sources.
Interzoid does not guarantee the accuracy, completeness, authenticity, timeliness, availability, legality, reliability, uniqueness, consistency, or suitability of any third-party data, AI-generated data, enrichment result, similarity key, match result, score, classification, standardization, profile, report, API response, or other Service Output.
You are responsible for reviewing, validating, and determining whether Service Outputs are appropriate for your intended use. The Services and Service Outputs are intended to support data quality, matching, enrichment, and related business workflows, and should not be used as the sole basis for legal, financial, employment, credit, housing, healthcare, safety, eligibility, regulatory, or other high-impact decisions.
The Services may be accessed through, integrated with, or made available in connection with third-party platforms, marketplaces, cloud providers, data platforms, data warehouses, workflow tools, and other third-party services, including platforms such as Snowflake.
Interzoid is not responsible for third-party platforms, third-party accounts, marketplace terms, data warehouse configurations, access permissions, user roles, customer environments, third-party outages, third-party security controls, third-party fees, or changes made by third-party providers.
You are responsible for configuring and securing your third-party accounts, environments, credentials, roles, permissions, network access, data flows, and integration settings.
You may not, and may not permit any third party to:
Interzoid may monitor use of the Services to operate, secure, support, improve, measure, and protect the Services; verify compliance with these Terms; prevent fraud, abuse, excessive usage, or security issues; and enforce applicable usage limits or commercial terms.
Interzoid may suspend, limit, or terminate access to the Services if Interzoid reasonably believes that your use violates these Terms, creates security or operational risk, may cause harm to Interzoid or others, exceeds applicable limits, or may violate law.
The features, functions, interfaces, data structures, credit costs, data sources, integrations, and behavior of the Services may change over time. Interzoid may modify, suspend, or discontinue any Service or portion of a Service at any time. You are responsible for ensuring that your systems, integrations, applications, and API calls remain compatible with the then-current Services.
Interzoid does not guarantee that the Services will be uninterrupted, error-free, secure, available at any particular time, or compatible with every system, integration, environment, or use case.
Interzoid may make beta, preview, trial, experimental, or evaluation features available from time to time. These features may be incomplete, unstable, unavailable, inaccurate, changed, or discontinued at any time. Beta and preview features are provided "as is" and should not be used in production or mission-critical environments unless Interzoid expressly agrees otherwise in writing.
Interzoid retains all rights, title, and interest in and to the Interzoid Technology, Services, software, APIs, algorithms, models, matching logic, similarity key methods, scoring methods, documentation, designs, workflows, infrastructure, and related intellectual property. No rights are granted to you except as expressly stated in these Terms.
You may provide suggestions, feedback, ideas, or recommendations regarding the Services. Interzoid may use feedback without restriction or obligation to you.
Interzoid's collection and use of information is described in Interzoid's Privacy Policy. You are responsible for determining whether your use of the Services requires additional privacy notices, consents, data processing terms, security controls, or legal obligations.
You agree not to submit sensitive personal information, regulated health information, payment card data, government identification numbers, passwords, authentication secrets, or other highly sensitive data unless Interzoid has expressly agreed in writing that the applicable Service is designed to process that type of data.
THE SERVICES, INTERZOID TECHNOLOGY, THIRD-PARTY DATA, AI-GENERATED DATA, SERVICE OUTPUTS, DOCUMENTATION, SAMPLE CODE, INTEGRATIONS, REPORTS, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, AND THAT THE SERVICES OR SERVICE OUTPUTS WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.
INTERZOID DOES NOT WARRANT THAT THE SERVICES WILL IDENTIFY EVERY MATCH, DUPLICATE, INCONSISTENCY, STANDARDIZATION ISSUE, ENRICHMENT ATTRIBUTE, RISK INDICATOR, DATA QUALITY ISSUE, OR OTHER CONDITION, OR THAT ANY RESULT RETURNED BY THE SERVICES WILL BE CORRECT, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM OR RELATING TO DATA ERRORS, DATA INACCURACIES, THIRD-PARTY DATA, AI-GENERATED DATA, THIRD-PARTY SERVICES, THIRD-PARTY INTEGRATIONS, SERVICE OUTPUTS, OR YOUR USE OF OR RELIANCE ON THE SERVICES, EVEN IF INTERZOID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, SERVICE OUTPUTS, THIRD-PARTY DATA, AI-GENERATED DATA, INTEGRATIONS, OR YOUR USE OF OR RELIANCE ON THE SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO INTERZOID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF YOU USE THE SERVICES ON A FREE, TRIAL, EVALUATION, DEMONSTRATION, BETA, PREVIEW, SAMPLE APPLICATION, OR UNPAID BASIS, INTERZOID WILL HAVE NO LIABILITY TO YOU ARISING OUT OF OR RELATING TO THAT USE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You will defend, indemnify, and hold harmless Interzoid, its officers, directors, employees, agents, contractors, affiliates, shareholders, successors, and assigns from and against any third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to Customer Data, your use of the Services, your Service Outputs, your products or services, your violation of these Terms, your violation of law, your integrations, your credentials, or the acts or omissions of your users, employees, contractors, agents, or end users.
Interzoid may identify you as a customer or user of the Services in customer lists, websites, presentations, and marketing materials, using your name and logo, unless you notify Interzoid in writing that you do not permit such use. Interzoid will not issue a press release announcing a customer relationship without your consent.
These Terms remain in effect while you use the Services. You may stop using the Services at any time. Interzoid may suspend or terminate your access to the Services if you violate these Terms, if your use creates risk or possible legal exposure, if required by law, or if Interzoid discontinues the applicable Service.
Sections that by their nature should survive termination will survive, including sections relating to ownership, restrictions, Customer Data, Service Outputs, disclaimers, limitations of liability, indemnification, governing law, and notices.
These Terms will be governed by and interpreted according to the laws of the State of California, without regard to conflicts of laws principles that would cause the laws of another jurisdiction to apply. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted in the state or federal courts located in San Francisco, California, and you and Interzoid each consent to the personal jurisdiction of those courts.
Any notices or communications under these Terms shall be by electronic mail or in writing and deemed delivered upon receipt to the party to whom such communication is directed. Notices to Interzoid shall be delivered to legal@interzoid.com or to the current physical address available on the Interzoid public website. You agree to provide accurate, current contact information to Interzoid and to notify Interzoid of any changes to your email address or physical address.
Interzoid may update these Terms from time to time. The updated Terms will be posted on the Interzoid website with an updated effective date. Material changes will become effective no earlier than thirty (30) days after posting unless a shorter period is required by law or is necessary for security, legal, or operational reasons. Your continued use of the Services after the effective date means you accept the updated Terms.
